On the evening of May 22, Tiantie Technology announced that the Company signed a Strategic Cooperation Framework Agreement with Shenzhen Inx Technology Co., Ltd. (hereinafter referred to as " Inx ") on the same day. The Agreement aims to comprehensively carry out strategic cooperation in the supply, R&D, and production of lithium metal anode materials for solid-state batteries, achieve complementary advantages between the two parties, expand the scope of cooperation, enhance the level of collaboration, and realize win-win cooperation.

According to the agreement, the two sides will carry out in-depth cooperation in the supply of solid lithium metal anode material products, new material research and development, production line construction and other aspects. Specific cooperation content includes:

Tiantie Technology provided two battery-grade lithium metal products to Inx for sample testing.

Inx will give priority to purchase lithium metal anode materials from Tiantie Technology under the same conditions if the samples are qualified and the products can meet the demand, and after the first ≥450Wh/kg solid state 2GWh mass production line is put into operation, Tiantie Technology will be responsible for the supply of lithium metal materials for the line, with an annual purchase quantity of no less than 100 tons in principle, and a purchase period of not less than 5 years. The annual procurement volume is in principle not less than100 tons and the procurement period is not less than 5 years.

The two sides will also jointly research and develop battery-grade lithium metal anode materials, integrate high-quality resources, strengthen collaboration, and carry out research and development cooperation on new lithium metal anode materials.

In addition, the two sides may explore the establishment of a joint venture or the construction of a solid-state battery production line based on their corporate strengths to meet market demand.

During the validity period of the agreement, if Inx carries out market financing, Tiantie Technology will be entitled to participate in a certain share of the financing after fulfilling the corresponding procedures and with the consent of Inx .

The two parties will also establish a regular cooperation mechanism to carry out continuous cooperation in the fields of product supply, project management, business management, technology research and development, and cultural exchanges.

The announcement said that the main content of the “Strategic Cooperation Framework Agreement” signed at present is only the main framework content, the specific cooperation projects, cooperation methods and conditions to be determined by the two sides for further consultation.

The signing of this agreement is conducive to the realization of the complementary advantages of the two sides, broaden the field of cooperation between the two sides, improve the level of cooperation, and achieve win-win cooperation, the two sides in the supply of lithium metal anode materials for solid-state batteries, research and development, production and other aspects of cooperation, in line with the company's strategic planning, and in line with the interests of all the shareholders of the company.
